PLATE No. CCLIII

Bain Capital controls Canada Goose with 55.5% of the votes; Dani Reiss, the founder's grandson, holds 36.2%. With an Expedition at CAD 1,995 in your basket, that split matters more than the 2013 buyout headline.

Canada Goose, on the shelf.

Bain owns 31.6% of the shares, but each carries 10 votes; a share bought on the stock market carries one.

So I would watch the grandson as closely as the firm. Under the company's articles, a 10 vote share sold to an outside buyer becomes a one vote share, so Bain's votes do not travel with its stake. If Bain's shares converted, Reiss would hold about 72% of the votes, by our arithmetic on the company's share counts.

Quick facts

  • Controlling shareholder: Bain Capital, 55.5% of the votes and 31.6% of the shares, record date 22 June 2026
  • The family: Dani Reiss, 36.28% of the votes and 21.00% of the shares after 9 September 2026
  • Bain and Reiss: 91.7% of the votes, by the annual report filed 15 May 2026
  • Listed: March 2017 on the NYSE and the TSX as GOOS, at C$17.00 a share
  • Founded: 1957, by Sam Tick, as Metro Sportswear
  • On within: 79 Canada Goose pieces at 2 boutiques, median CAD 595, read 16 October 2026

Bain Capital holds the votes from Boston

The company's annual report to the SEC says: "We are currently controlled by Bain Capital." It puts Bain at 200 Clarendon Street in Boston. Bain's release of 10 December 2013 announced a majority stake, terms not disclosed, which the report calls a 70% equity interest.

The circular of 26 June 2026 lists 30,873,742 of the 10 vote shares under Bain, 60.5% of that class. Fidelity's FMR shows the other side: 10.7% of the one vote shares and 0.9% of the votes.

The family that kept the votes

Sam Tick founded Metro Sportswear in Toronto, making woollen vests, raincoats and snowmobile suits. His grandson's letter in the annual report says, "That's how my grandfather started this business in 1957."

Dani Reiss joined in 1997 and became president and CEO in 2001. Through DTR LLC, his holding company, he holds 20,130,334 of the 10 vote shares, 39.47% of that class. On 9 September 2026 he bought 100,000 more one vote shares, taking him to 36.28% of the votes.

The listing gave everyone else one vote

The prospectus of 15 March 2017 priced 20,000,000 subordinate voting shares at C$17.00 each, under the ticker GOOS (about as literal as tickers get).

On 5 August 2026 the company agreed to sell Baffin, the footwear brand founded in 1979 and bought in 2018, to L.P. Royer Inc.

The sale talk, and what a buyer would get

WWD wrote on 10 July 2025 that Bain was thinking of moving on. On 27 August 2025 Reuters reported bids valuing the company at about US$1.4 billion. Advent International and Boyu Capital had made verbal offers.

Bosideng called the reports untrue in a filing on 28 August 2025. Inside Retail wrote on 15 May 2026 that Bain was still looking to exit. No sale had been announced by 16 October 2026, and Bain's last filing on its stake is dated 17 February 2026.

A buyer of Bain's stake would get its shares with one vote each, not 10.

Bain's 10 vote shares also convert once it holds less than 15% of the outstanding shares. Even then, the annual report says, the company "may continue to be a controlled company" while Reiss's entity holds multiple voting shares. That 72% is our arithmetic on share counts of 23 July 2026, not a forecast.

What the owner means for the coat you buy

Controlled from Boston, made in Canada: both are true, and I like the second fact more. Canada Goose's warranty covers insulated outerwear "for the lifetime of the product", whoever holds the votes.

Sam Tick's business from 1957 is now decided by two shareholders, a private equity firm in Boston and his grandson's holding company.
